Terry is a member of the firm’s Business & Technology Group and serves as a legal advisor to technology and non-technology clients, ranging from emerging growth to mature companies. He works with clients in securing and protecting trademark, copyright and trade secret intellectual property rights. He is experienced in structuring, negotiating and drafting strategic partner agreements and technology licensing agreements for both semiconductor and software sectors. He also advises clients regarding channel strategy, distributor agreements and purchase and supply contracts. In addition, Terry supports clients’ corporate compliance needs and franchise relationships.
Terry has handled a wide variety of matters for clients, including:
- Personally negotiated a wide variety of technology licensing transactions, strategic development arrangements, outsourcing deals, corporate acquisitions, channels and IP management
- Ran IP and technology transaction legal group at a publicly traded software company
- Advised technology company management on corporate compliance issues, including FCPA, Sarbanes-Oxley and privacy protection in US and Europe
- Lead legal team in negotiating $1.7 billion acquisition of publicly traded company by major software company and managed legal integration following that transaction, including consolidation of subsidiaries worldwide
- Served on PeopleSoft’s initial response team managing response to Oracle’s hostile tender offer
- Negotiated international technology licensing deals against major international companies, including Sony, Canon and NEC
- Managed and negotiated international transactions and strategic deals with partners in many countries, including Japan, China, India, England, Italy, France, Germany, Cayman Islands and Canada
- Developed and negotiated international connection and transportation contracts with major oil & gas and power companies worldwide
Prior to joining Morgan Miller Blair, Terry was Of Counsel at Silicon Valley Law Group. He also has worked as a senior legal executive at PeopleSoft, Cisco Systems, British Gas and LSI Logic, as a litigation attorney with Cooley Godward and managed litigation for McKesson Corporation.
