Morgan Miller Blair provides counsel and advice to real estate clients with respect to business entity formation for real estate developments, strategic investments and joint venture projects.  We have substantial experience and expertise in the tax aspects of such matters, limited liability considerations, structural, operational and practical considerations for such entities, and planning for disposition of the entities and/or the properties they develop or in which they invest.  We can assist in formation of entities, whether in California, Delaware or elsewhere, and in drafting all organizational documents.

• Formation of limited liability entities (LPs and LLCs) for development projects and real estate investments;
• Formation of entities among public homebuilding companies, equity investors and mezzanine lenders for condominium projects;
• Formation of entities among major homebuilders to share entitlement risk, infrastructure development costs and division of lot inventory for master planned communities;
• Formation of TICs (tenancies-in-common) for joint investments in shopping centers, office projects and other properties;
• Formation of entities among private developers and financial partners for real estate entitlement and/or development projects; and
• Formation of SPEs (special purpose entities) to meet conduit financing requirements.
